Terms of Service

Please read these terms carefully before using SolidQuote.

Important Notice

By accessing or using SolidQuote, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service. These terms include an arbitration agreement and class action waiver that affect your rights.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and SolidQuote Inc. ("SolidQuote," "we," "us," or "our") governing your access to and use of the SolidQuote website, mobile applications, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date and, where appropriate, sending you an email notification. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Eligibility

To use SolidQuote, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding contract
  • Not be prohibited from using the Service under applicable laws
  • Provide accurate, current, and complete registration information
  • Be a sole proprietor, independent contractor, or authorized representative of a business entity

3. Account Registration

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We use magic link authentication for enhanced security. You agree to:

  • Keep your email account secure
  • Notify us immediately of any unauthorized use of your account
  • Not share your account access with others
  • Log out from your account at the end of each session on shared devices

3.3 Account Termination

You may delete your account at any time through your account settings or by contacting us. Upon termination, your right to use the Service will immediately cease, and we may delete your data in accordance with our Privacy Policy.

4. Service Description

SolidQuote is a quote management platform designed for solo contractors and small businesses. The Service allows you to:

  • Create and customize professional quotes
  • Send quotes to clients via email
  • Track quote views and status
  • Manage client information
  • Generate PDF versions of quotes
  • Receive client approvals through our client portal
  • Access analytics and reporting (Pro plan)
  • Integrate with third-party services (Pro plan)

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that may affect your use of the Service.

5. Subscriptions and Billing

5.1 Free Plan

SolidQuote offers a free plan with limited features. The free plan includes up to 5 quotes per month and basic functionality. Free plan users may upgrade to a paid plan at any time.

5.2 Paid Subscriptions

Paid subscriptions ("Pro Plan") are billed on a monthly or annual basis. By subscribing to a paid plan, you agree to pay the applicable fees. All fees are stated in US dollars unless otherwise specified.

5.3 Free Trial

New users may be eligible for a 14-day free trial of the Pro Plan. At the end of the trial period, you will be automatically charged the applicable subscription fee unless you cancel before the trial ends.

5.4 Billing and Renewal

  • Subscriptions automatically renew unless cancelled before the renewal date
  • You authorize us to charge your payment method on file for renewal fees
  • Prices may change with 30 days' notice before your next billing cycle
  • You are responsible for all applicable taxes

5.5 Refunds

Subscription fees are non-refundable except as required by law or as expressly stated in these Terms. If you believe you are entitled to a refund, please contact our support team within 14 days of the charge.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any applicable local, state, national, or international law
  • Send spam, phishing emails, or other unsolicited communications through the Service
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any part of the Service
  • Use any robot, spider, or other automated means to access the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove any copyright, trademark, or other proprietary notices
  • Use the Service to transmit any malware, viruses, or harmful code
  • Create quotes for fraudulent, deceptive, or misleading purposes
  • Exceed the usage limits of your subscription plan

7. Your Content

7.1 Ownership

You retain all ownership rights to the content you create, upload, or transmit through the Service ("Your Content"), including quotes, client information, business details, and any other materials.

7.2 License Grant

By using the Service, you grant SolidQuote a worldwide, non-exclusive, royalty-free license to use, copy, store, transmit, and display Your Content solely for the purpose of providing and improving the Service.

7.3 Responsibility for Content

You are solely responsible for Your Content and the accuracy of information in your quotes. SolidQuote does not endorse, verify, or guarantee the accuracy of any quotes or content created through the Service. You represent that you have all necessary rights to use and share any content you upload or include in quotes.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by SolidQuote and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

The SolidQuote name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of SolidQuote. You may not use such marks without our prior written permission.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes in accordance with these Terms.

9. Third-Party Services

The Service may integrate with or contain links to third-party websites, services, or applications ("Third-Party Services"). These Third-Party Services are not under our control, and we are not responsible for their content, privacy policies, or practices.

Your use of Third-Party Services is governed by their respective terms of service and privacy policies. We encourage you to read the terms and privacy policies of any Third-Party Services you access through our Service.

10. Disclaimers

Important Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Service will be accurate or reliable
  • The quality of the Service will meet your expectations
  • Any errors in the Service will be corrected

SolidQuote is a tool for creating quotes and does not provide legal, financial, or professional advice. You are responsible for ensuring your quotes comply with applicable laws and regulations.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLIDQUOTE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or data breaches
  • Loss of goodwill or reputation
  • Cost of procurement of substitute services
  • Any other intangible losses

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless SolidQuote and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Service, Your Content, or your violation of any rights of a third party.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account and Your Content
  • Provisions that by their nature should survive termination will survive
  • You remain liable for any fees incurred before termination

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@solidquote.com. We will try to resolve the dispute informally by contacting you via email.

14.2 Arbitration Agreement

If we cannot resolve the dispute informally, you and SolidQuote agree to resolve any disputes through binding arbitration rather than in court, except that either party may bring claims in small claims court if eligible.

14.3 Class Action Waiver

YOU AND SOLIDQUOTE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

15. General Provisions

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

15.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SolidQuote regarding the Service and supersede all prior agreements and understandings.

15.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

15.4 Waiver

The failure of SolidQuote to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

15.5 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
